1. Acceptance of Terms 1.1. You affirm that you are of legal age to enter into this agreement or have obtained parental or guardian consent if you are a minor in your jurisdiction.
2. Description of Service 2.1. AI Helpdesk 365 provides advanced, AI-powered helpdesk solutions and related support services designed to streamline customer service operations and enhance user experience. The specific features and functionalities of the Service may be updated or modified periodically at our sole discretion.
3. User Accounts and Responsibilities 3.1. To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, complete, and current information during the registration process and to maintain the accuracy of such information. 3.2. You are solely responsible for safeguarding the confidentiality of your account password and for all activities that occur under your account. You agree to notify AI Helpdesk 365 immediately of any unauthorized use of your account or any other breach of security. AI Helpdesk 365 cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.
4. Acceptable Use Policy 4.1. You covenant and agree to utilize the Service solely for lawful purposes and in a manner that does not infringe upon the rights of others, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited activities include, but are not limited to: a. Engaging in any illegal or fraudulent activity. b. Uploading, transmitting, or distributing any content that is infringing, libelous, defamatory, obscene, pornographic, abusive, or otherwise objectionable. c. Transmitting any material that contains viruses, Trojan horses, worms, time bombs, or any other harmful or deleterious programs. d. Interfering with or disrupting the integrity or performance of the Service or data contained therein. e. Attempting to gain unauthorized access to the Service, its related systems or networks. f. Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity. g. Decompiling, reverse engineering, or otherwise attempting to discover the source code of the Service. 4.2. AI Helpdesk 365 reserves the right to suspend or terminate your access to the Service immediately for any violation of this Acceptable Use Policy, without prior notice.
5. Intellectual Property Rights 5.1. All content, features, and functionality within the Service, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of AI Helpdesk 365, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 5.2. Subject to your compliance with these Terms, AI Helpdesk 365 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use. This license does not include any right to: (a) reproduce, modify, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidental to normal web browsing; (b) use any robots, spiders, or other automatic device, process, or means to access the Service for any purpose; or (c) otherwise use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service. 5.3. You retain ownership of any data, content, or information that you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant AI Helpdesk 365 a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the operation of the Service.
6. Disclaimers of Warranties 6.1. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. 6.2. AI Helpdesk 365 does not warrant that the Service will be uninterrupted, secure, error-free, accurate, reliable, or available at any particular time or location; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components. Your use of the Service is at your sole risk.
7. Limitation of Liability 7.1. To the maximum extent permitted by applicable law, in no event shall AI Helpdesk 365, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage. 7.2. In no event shall AI Helpdesk 365's aggregate liability for any and all claims arising out of or related to these Terms or your use of the Service exceed the greater of the amount you paid to AI Helpdesk 365 for the Service during the twelve (12) months preceding the event giving rise to the liability, or one hundred U.S. dollars ($100.00).
8. Indemnification 8.1. You agree to defend, indemnify, and hold harmless AI Helpdesk 365 and its licensee and licensors, and their respective employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account and password; (b) a breach of these Terms; or (c) your violation of any law or the rights of a third party.
9. Termination 9.1. AI Helpdesk 365 may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. 9.2. You may terminate your account at any time by discontinuing your use of the Service. 9.3. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Modifications to Terms 10.1. AI Helpdesk 365 reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 10.2. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
11. Governing Law and Jurisdiction 11.1. These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. 11.2. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties hereby consent to the personal jurisdiction and venue therein.
12. Miscellaneous Provisions 12.1. Entire Agreement: These Terms, together with any other legal notices and agreements published by AI Helpdesk 365 on the Service, constitute the entire agreement between you and AI Helpdesk 365 concerning the Service. 12.2. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. 12.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and AI Helpdesk 365's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
